In these Terms, “rNobel,” “we,” “us,” and “our” refer to rNobel, and “you,” “your,” or “client” refers to the person, business, organization, or entity accessing our website or engaging our Services.

By accessing or using our website or engaging our Services, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree with these Terms, please do not use our website or Services.

1. Acceptance of Terms

By accessing, browsing, submitting a form, requesting information, entering into a proposal or statement of work, making a payment, or otherwise engaging with rNobel, you agree to be bound by these Terms and any additional terms incorporated by reference, including applicable proposals, statements of work (“SOWs”), service agreements, invoices, and our Privacy Policy.

Where a separate written agreement, proposal, SOW, or service-specific agreement exists between rNobel and a client, the terms of that agreement will govern the specific Services covered by that agreement. In the event of a conflict, the applicable signed or otherwise accepted client agreement will prevail over these general website Terms for that specific engagement.

2. Use of Our Website

You may use our website only for lawful purposes and in accordance with these Terms.

You agree not to:

  • Use the website for any unlawful, fraudulent, abusive, or unauthorized purpose;
  • Attempt to gain unauthorized access to our website, systems, accounts, servers, or databases;
  • Introduce viruses, malicious code, malware, or other harmful material;
  • Interfere with the operation, security, or availability of the website;
  • Copy, reproduce, scrape, modify, republish, distribute, or commercially exploit website content without our written permission;
  • Impersonate another person or entity or misrepresent your relationship with any person or organization;
  • Use information obtained from the website to infringe the rights of rNobel or any third party.

We reserve the right to restrict or terminate access to any portion of the website where we reasonably believe these Terms have been violated.

3. Our Services

rNobel provides digital marketing, advertising, lead generation, search engine optimization, AI-powered marketing and optimization, search and answer engine optimization, social media marketing, paid advertising management, web design and development, CRM and automation solutions, IT services, software and related digital services.

The exact Services provided to a client, deliverables, timelines, fees, responsibilities, advertising budgets, platforms, milestones, and other commercial conditions may vary by project and will be specified in the applicable proposal, SOW, agreement, or invoice.

We reserve the right to modify, add, suspend, or discontinue any website feature, resource, or service offering from time to time.

4. Proposals, Estimates and Project Scope

Any proposal, estimate, pricing information, package, timeline, strategy, recommendation, or service description displayed on our website or provided during an initial consultation is for general information unless expressly identified as part of a formal proposal or agreement.

Project scope, deliverables, deadlines, revisions, fees, payment schedules, and other requirements will be determined by the applicable proposal, SOW, or agreement.

Requests outside the agreed scope may require additional fees, time, or a separate agreement.

5. Payments, Fees and Taxes

Fees and payment terms for Services will be specified in the applicable proposal, SOW, agreement, invoice, or payment request.

Unless otherwise agreed in writing:

  • Payments must be made according to the applicable invoice or agreed payment schedule.
  • Work may be delayed, paused, or suspended if required payments are overdue.
  • The client remains responsible for applicable taxes, government charges, advertising spend, third-party platform fees, domains, hosting, software subscriptions, licenses, or other external costs unless expressly included in the agreed fee.
  • Additional work outside the agreed scope may be billed separately.
  • Any refund, cancellation, credit, or termination arrangement will be governed by the applicable agreement or stated payment terms.

Payment of an invoice or acceptance of a proposal may constitute acceptance of the applicable commercial terms.

6. Client Responsibilities

To provide Services effectively, the client is responsible for providing accurate, complete, and timely information, approvals, materials, credentials, access, content, images, brand assets, technical information, and other resources reasonably required for the project.

The client is responsible for:

  • Ensuring that information and materials supplied to rNobel are accurate and lawful;
  • Maintaining ownership or appropriate rights to materials supplied to us;
  • Providing required approvals and feedback within reasonable timeframes;
  • Maintaining access to relevant accounts and systems where applicable;
  • Informing rNobel of material changes that may affect the project;
  • Complying with laws and regulations applicable to the client’s business and marketing activities.

Delays caused by missing information, approvals, access, materials, or client-side decisions may affect project timelines and deliverables.

7. Digital Marketing and Performance Disclaimer

Digital marketing results can be affected by numerous factors outside rNobel’s reasonable control, including search-engine and advertising-platform algorithms, competition, industry conditions, market demand, audience behavior, website performance, technical issues, policy changes, budget, pricing, client operations, and third-party platform decisions.

Accordingly, rNobel does not guarantee specific rankings, traffic levels, leads, conversions, sales, revenue, advertising performance, return on investment, customer acquisition costs, social-media growth, or any other specific business outcome unless an express written agreement states otherwise.

SEO results, advertising results, lead-generation results, AI-search visibility, search rankings, and other performance indicators can change over time.

Any examples, case studies, statistics, projections, testimonials, or results displayed on our website are provided for informational purposes and may not represent results that every client will achieve.

8. Search Engines, Advertising Platforms and Third-Party Services

Certain Services may depend on or interact with third-party platforms, including search engines, advertising networks, social-media platforms, website hosting providers, analytics systems, CRM platforms, communication services, artificial-intelligence platforms, software providers, and other third-party services.

These third parties operate independently of rNobel and may change their policies, algorithms, technical requirements, pricing, availability, features, or access at any time.

rNobel is not responsible for losses, interruptions, suspensions, account restrictions, policy enforcement, algorithm changes, data loss, pricing changes, or other consequences resulting from a third-party platform.

Third-party advertising spend, software fees, subscription charges, hosting fees, domain fees, and similar expenses are separate from rNobel’s professional fees unless specifically stated otherwise.

9. AI, Automation and Emerging Technologies

rNobel may use artificial intelligence, automation, machine-learning systems, generative AI tools, analytics platforms, and other technologies in connection with certain Services.

AI-assisted outputs may contain inaccuracies, omissions, outdated information, or other errors. While rNobel may review and refine outputs as appropriate for the applicable project, AI-generated or AI-assisted information should not be treated as automatically accurate, complete, or guaranteed to produce a particular result.

Clients remain responsible for reviewing and approving materials, claims, business information, legal statements, regulated content, and other material published or used on their behalf where client approval is required.

Third-party AI tools and platforms may be subject to their own terms, privacy policies, usage restrictions, and limitations.

10. Lead Generation, Outreach and Marketing Compliance

Where rNobel provides lead generation, email marketing, telemarketing, SMS, social outreach, advertising, or other customer-acquisition Services, the applicable campaign will be conducted according to the agreed scope and applicable requirements.

The client is responsible for ensuring that information, claims, offers, pricing, products, services, and business representations supplied to rNobel are accurate and lawful.

Where applicable, the client and/or rNobel will be responsible for the obligations applicable to its respective role under relevant privacy, marketing, advertising, telecommunication, electronic communication, consumer-protection, and anti-spam laws and platform policies.

rNobel may decline to conduct an activity that it reasonably believes would violate applicable law, a third-party platform policy, or these Terms.

11. Intellectual Property Rights

Unless otherwise stated, all content and materials appearing on the rNobel website, including text, graphics, logos, designs, layouts, photographs, videos, software, code, trademarks, service marks, and other materials, are owned by or licensed to rNobel and are protected by applicable intellectual-property laws.

You may view and use our website for lawful personal or business purposes. You may not reproduce, republish, modify, distribute, create derivative works from, sell, license, or commercially exploit our website content without prior written permission.

Nothing in these Terms transfers ownership of rNobel’s pre-existing intellectual property, methodologies, systems, templates, frameworks, processes, know-how, tools, software, code libraries, or proprietary materials to a client.

12. Client Materials and Project Deliverables

The client retains ownership of materials that the client lawfully provides to rNobel, subject to any applicable third-party rights.

The client grants rNobel a limited license to use, reproduce, modify, transmit, and otherwise process such materials solely as reasonably necessary to provide the agreed Services.

Unless otherwise stated in writing, ownership or licensing rights in final project deliverables specifically created for a client will be governed by the applicable proposal, SOW, or agreement and, where relevant, may be transferred or licensed upon receipt of full payment.

Third-party assets, fonts, stock images, software, plugins, API services, templates, datasets, and other licensed materials remain subject to their respective licensing terms.

13. Confidentiality

Each party may receive confidential or proprietary information belonging to the other party in connection with the Services.

Each party agrees to use reasonable care to protect confidential information and not disclose it to unauthorized third parties except where disclosure is necessary to perform the Services, required by law, or otherwise authorized.

Information that is publicly available, independently developed, already lawfully known, or lawfully obtained from another source will generally not be considered confidential.

14. Website Accuracy and Availability

We make reasonable efforts to keep the information on our website current and useful. However, website content may contain typographical errors, technical inaccuracies, outdated information, omissions, or other errors.

We reserve the right to correct, modify, update, suspend, or remove website content at any time without prior notice.

We do not guarantee that the website will always be available, uninterrupted, secure, error-free, or free from viruses or other harmful components.

15. Third-Party Websites and Links

Our website or Services may contain links to websites, applications, products, or services operated by third parties.

These links are provided for convenience or informational purposes only. rNobel does not control, operate, or necessarily endorse third-party websites or services.

Your use of third-party websites is subject to the terms and policies of those third parties, and rNobel is not responsible for their content, security, availability, privacy practices, products, services, or actions.

16. Privacy and Personal Information

Your use of our website and Services may involve the collection and processing of personal information.

Our collection, use, storage, and handling of personal information is described in our Privacy Policy, which forms part of these Terms by reference.

You should review our Privacy Policy before using our website or submitting information to us.

Where applicable, personal-data processing may also be subject to relevant data-protection laws and regulations.

17. Security and Data

We take reasonable measures to protect information and systems used in providing our Services. However, no website, network, communication system, or method of electronic storage can be guaranteed to be completely secure.

The client is responsible for maintaining appropriate backups of its own data, website, systems, credentials, and materials unless a separate written agreement expressly assigns backup responsibilities to rNobel.

rNobel will not be responsible for loss of data caused by circumstances outside our reasonable control or by third-party systems, client actions, unauthorized access, or failures not caused by our own breach of an applicable obligation.

18. Suspension and Termination

rNobel may suspend or terminate access to the website or Services where reasonably necessary, including for non-payment, misuse, unlawful activity, security concerns, violation of these Terms, violation of third-party platform requirements, or other material breach.

A client may terminate Services in accordance with the cancellation or termination terms contained in the applicable proposal, SOW, or agreement.

Termination does not remove obligations or payment responsibilities that accrued before termination.

Upon termination, access to certain Services, systems, accounts, resources, or deliverables may cease in accordance with the applicable agreement.

19. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the website and general website materials are provided on an “as is” and “as available” basis.

rNobel makes no warranties or representations, express or implied, regarding the completeness, accuracy, reliability, availability, suitability, or fitness of website information for a particular purpose.

We do not warrant that use of the website or Services will be uninterrupted, error-free, secure, or that any particular business or marketing result will be achieved.

Nothing in these Terms excludes any warranty, right, or protection that cannot lawfully be excluded under applicable law.

20. Limitation of Liability

To the maximum extent permitted by applicable law, rNobel and its owners, representatives, contractors, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, or business interruption arising from or related to the website or Services.

Where liability cannot legally be excluded, rNobel’s liability will be limited to the extent permitted by applicable law.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.

21. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless rNobel and its owners, representatives, contractors, service providers, and affiliates from claims, losses, damages, liabilities, costs, and expenses arising from:

  • Your violation of these Terms;
  • Your unlawful use of the website or Services;
  • Your violation of applicable law or third-party rights;
  • Materials, information, instructions, claims, or content supplied by you;
  • Your products, services, business practices, or customer relationships; or
  • Your infringement of intellectual-property, privacy, contractual, or other rights of a third party.

This provision does not apply to the extent a claim is caused by rNobel’s own liability that cannot lawfully be shifted to you.

22. Force Majeure

rNobel will not be responsible for delay, interruption, or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, acts of government, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, cyber incidents, power outages, third-party platform failures, supplier failures, epidemics, pandemics, or other events beyond our reasonable control.

Where practical, we will make reasonable efforts to resume affected Services when the circumstances permit.

23. Changes to These Terms

We may revise these Terms from time to time to reflect changes to our Services, business practices, technology, legal requirements, or other circumstances.

The updated version will be posted on this page with a revised “Last Updated” date.

Your continued use of the website or Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

24. Governing Law and Disputes

These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

The parties will first attempt to resolve any dispute through good-faith communication.

If a dispute cannot be resolved amicably, it may be submitted to a court or other legally available dispute-resolution forum having appropriate jurisdiction under applicable law.

Nothing in these Terms prevents a party from exercising a legal right or remedy that cannot lawfully be waived or restricted.

25. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified or severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

26. Waiver

A failure or delay by rNobel to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

27. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where such transfer is permitted by applicable law.

rNobel may assign or transfer its rights and obligations in connection with a business reorganization, merger, sale, restructuring, or transfer of its business or assets, subject to applicable law.

28. No Partnership or Agency

Nothing in these Terms creates or establishes a partnership, joint venture, employment relationship, franchise, fiduciary relationship, or agency relationship between you and rNobel unless expressly agreed in writing.

Neither party has authority to bind the other party except as expressly authorized.

29. Entire Agreement

These Terms, together with our Privacy Policy and any applicable proposal, SOW, service agreement, invoice, or other written agreement between rNobel and the client, constitute the agreement governing the applicable website use or Services.

These Terms supersede prior general understandings relating specifically to the subject matter covered herein, except where a separate written agreement expressly states otherwise.
